Market Access and counterparty risk | Hungary and Italy

Market entry, counterparty risk and pharmaceutical value chain

Bilateral diagnostic for Italian companies interested in Hungary and Hungarian operators assessing access to the Italian market.

1. Decision reviewed

The operating framework verifies the conditions under which a company can establish a commercial, productive or distribution presence in Hungary and, conversely, how a Hungarian operator can organise entry into Italy. The question is not whether the market is attractive in general, but whether the specific project has sufficient product readiness, authorisations, contractual structure, counterparty quality and risk cover.

The path has two levels. The first applies to every sector: choice of entry model, counterparty verification, tax and customs treatment, FX risk, contracts and execution capacity. The second provides deeper analysis of pharmaceuticals, a material sector of the Hungarian economy and one in which regulation makes traditional commercial promotion insufficient.

2. Economic and industrial framework

Hungary is part of the European Single Market and Customs Union but retains the forint. This removes many tariff barriers in intra-EU trade without eliminating FX risk, the need for correct VAT registration, verification of the counterparty’s actual establishment or the analysis of local payment conditions.

  • The International Monetary Fund indicated real growth of 1.7% and average inflation of 3.8% for 2026. These figures are macroeconomic references, not a commercial forecast for a specific project.
  • The National Bank of Hungary set the base rate at 5.50% effective 26 August 2026. The cost of capital and the differential against the euro must therefore be incorporated into assessments of trade credit and working capital.
  • The economy is strongly integrated into European automotive, electronics, chemicals and life-sciences value chains. This integration provides access to capabilities and suppliers, but also exposes projects to the German industrial cycle and concentration among certain customers and sub-suppliers.

3. Entry models

Option When it can work Decisive check
Direct sale from Italy Demand already qualified, limited need for local support, contracts in euros or transferable FX risk. VAT responsibility, delivery terms, warranty, after-sales support and credit recovery.
Distributor or agent Fragmented market, need for a commercial network or access to regulated channels. Ultimate beneficial owner, financial capacity, conflicts of interest, exclusivity, targets and termination rights.
Local branch or company Recurring volumes, local staff, warehousing, tenders or continuous service. Economic substance, governance, taxation, authorisations and fixed costs before demand is established.
Production or industrial partnership Demonstrable logistics or technology advantage, compatible incentives and contracted demand. Title to the site, authorisations, supplies, energy, workforce, State aid and exit from the investment.

4. Counterparty verification

Mere registration in the companies register does not demonstrate execution capability. Before granting exclusivity, credit or access to sensitive information, it is necessary to establish:

  • corporate identity, ultimate beneficial owner, directors and signing authorities;
  • available financial statements, filing timeliness, indebtedness, tax exposures and capacity to finance inventory and receivables;
  • main customers, revenue concentration, verifiable commercial references and material litigation;
  • links to politically exposed persons, sanctions lists and potential conflicts of interest;
  • ownership or lawful control of declared warehouses, licences, personnel and infrastructure;
  • consistency between proposed volumes, logistics capacity, working capital and insurance cover.

The review must be updated immediately before signature and repeated if ownership, corporate bodies, relationship bank or payment terms change.

5. Pharmaceutical deep dive

In pharmaceuticals, market entry is not equivalent to signing a distribution agreement. It is first necessary to define the nature of the product, the marketing-authorisation holder, the channel, the pricing and reimbursement regime, pharmacovigilance, serialisation and quality management.

Authorisation and regulatory responsibility

  • Verify whether the medicinal product falls within a centralised EU procedure, decentralised procedure, mutual-recognition procedure or national procedure.
  • Identify precisely the marketing-authorisation holder and the party responsible for variations, product information, pharmacovigilance and quality defects.
  • For medical devices and diagnostics, separate the MDR or IVDR pathway from the medicinal-product regime and verify marking, notified body, importer, distributor and post-market surveillance.

Pricing, reimbursement and access

  • Authorisation does not guarantee reimbursement. The economic model must distinguish the private market, hospital procurement and administered reimbursement.
  • For Hungary, the national public-health and pharmaceutical authority and the national health-insurance fund are central. For Italy, the role of AIFA, regional procedures, formularies and tenders must be verified.
  • The business case must consider review timelines, discounts, payback mechanisms, supply obligations, shortage risk and the cost of the medical/scientific field force.

Production and supply chain

Hungary has an established industrial base in life sciences. The presence of well-known or listed operators does not imply any relationship with Sentinel. For any potential collaboration, facilities, GMP certifications, data quality, available capacity, dependence on non-EU active ingredients, intellectual-property rights and recall liability must be verified.

6. Main operating risks

  • Currency: revenues in forints and costs in euros can rapidly erode margin. Contract currency, price-review frequency and hedging policy must be defined.
  • Concentration: dependence on a single distributor or customer reduces bargaining power and makes commercial continuity fragile.
  • Regulation: an exclusively EU-level reading may fail to capture local procedures, administrative practices and conditions.
  • Credit: declared turnover is not equivalent to liquidity. Credit limits, insurance where available, guarantees and suspension rights are required.
  • Reputation: intermediaries without a clear role, disproportionate fees or opaque political relationships make the project difficult to defend.

Applied example: access to the Hungarian pharmaceutical market

Illustrative scenario: an Italian pharmaceutical company is considering marketing in Hungary a product already authorised in the European Union. The review does not begin by searching for a distributor. It begins by verifying the applicable regulatory pathway, ownership of the authorisation, the pricing and reimbursement regime, the access channel and responsibilities relating to quality, pharmacovigilance and continuity of supply.

Publicly available checks

  • classification of the product and applicable authorisation pathway;
  • allocation of responsibilities among the marketing-authorisation holder, importer, distributor and parties responsible for quality;
  • compatibility among the commercial channel, reimbursement, price, regulatory costs and working capital;
  • qualification of the counterparty from corporate, financial, operating and reputational perspectives;
  • definition of conditions that allow launch, require further checks or make proceeding inadvisable.

Illustrative outputs

Decision memorandum, map of authorisations and responsibilities, counterparty-selection criteria, economic scenario and conditions for a controlled launch. Names, detailed data, contacts, economic assumptions and working documents remain confidential.

7. Indicative roadmap

Mandate framing, verification of essential information, qualification of counterparties and transaction structure, decision and implementation support. Sequencing, responsibilities and timelines are defined according to the scope agreed with the client.

8. Conditions requiring a no-go

Preliminary checks are intended to determine whether sufficient conditions exist to continue the transaction. If any of the circumstances below emerge, the review is suspended until the issue has been fully clarified. If the issue cannot be resolved or adequately mitigated, Sentinel recommends not proceeding.

  • beneficial owner, signing powers or ownership of authorisations cannot be verified;
  • request for payments to parties or accounts unrelated to the contract;
  • sales forecasts without orders, tenders, consumption data or other verifiable evidence;
  • exclusivity not conditional on objectives, investment and termination rights;
  • in pharmaceuticals, absence of clear allocation of authorisation, quality, pharmacovigilance and supply responsibilities;
  • insufficient margin after FX, discounts, logistics, inventory, credit and regulatory costs;
  • sanctions, corruption or reputational indicators that cannot be clarified through documentary evidence.
